ELIGIBILITY: Participation open only to individuals who at the time of entry are at least the age of majority in their jurisdiction of residence. Eligible entrants referred to herein as “Eligible Entrants”.  

Non-eligibility or non-compliance with any of these Official Rules will result in disqualification. The following individuals are NOT eligible to participate in this Sweepstakes: (i) Employees, contractors, investors, officers, directors, shareholders, agents and representatives of Sponsor or its affiliates, subsidiaries, promotion and advertising agencies, entities involved with the design, execution or fulfillment of this Sweepstakes and members of their immediate families (spouse, parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above; and (ii) employees or officials of any government agency 

SWEEPSTAKES PERIOD: The Sweepstakes begins on March 22, 2022 at 9:00am Pacific Time (“PT”) and ends on March 26, 2022 at 9:00 pm PT (the “Sweepstakes Period”).

HOW TO ENTER; ENTRY GUIDELINES: During the Sweepstakes Period, an Eligible Entrant may enter by following @BookCameo and @CAMEOPASS on Twitter and retweeting the CameoPass Giveaway announcement dated March 22, 2022. The Entry must remain visible to Cameo for the duration of the Sweepstakes Period until the final winner is chosen.

Limit one (1) Entry per Eligible Entrant during the Sweepstakes Period. All Entries must be received by the end of the Sweepstakes Period. Use of any automated system to participate is prohibited and will result in disqualification. Any attempt by any person to obtain more than the permissible number of entries per day by using multiple/different accounts, identities, social media handles, or any other methods, will void all of that person’s entries. All entries must comply with these Official Rules or may be disqualified. No automated entry devices and/or programs permitted. 

Your entry must be your original creation, and  must not, in the sole opinion of Sponsor: (i) be indecent, obscene, hateful, defamatory or libelous; (ii) include any material that violates or infringes another’s rights; (iii) disparage Sponsor, any celebrity, or any other party; (iv) contain material that is unlawful in any way; (v) violate Twitter’s Rules (https://help.twitter.com/en/rules-and-policies/twitter-rules) or Terms of Service (https://twitter.com/en/tos), including by posting duplicate, or near duplicate, updates, or links; or (vi) violate any applicable laws, rules, and regulations, including the Federal Trade Commission “Guides Concerning the Use of Endorsements and Testimonials in Advertising,” which may require adding an appropriate hashtag (e.g., #sweepstakes) if you endorse Cameo products or services. Your entry must not contain brand names or trademarks other than those owned by Sponsor. Sponsor reserves the right to in its sole discretion to disqualify any Entry it deems in violation of these Official Rules.

DETERMINATION OF WINNER: A random drawing of one potential Winner (defined below) from all eligible Entries will occur on or about March 26, 2022 at 9:00 pm PT. If the winner of the random drawing is not an Eligible Entrant or is otherwise unwilling or unable to comply with these Official Rules, Sponsor shall continue conducting random drawings until a winner is drawn that is an Eligible Entrant who complies with these Official Rules. The Prize (defined below) shall be awarded to such Eligible Entrant, and such Eligible Entrant shall be considered the Winner.

The Winner must meet all eligibility requirements set forth in these Official Rules and comply with these Official Rules to qualify for the Prize.  Entrants and/or potential Winners may be required to provide proof of identification and eligibility as required by Sponsor.

ODDS: The actual odds of winning the Prize depend on the number of eligible Entries received.

PRIZE; PRIZE RESTRICTIONS: 1 prize (the “Prize”) will be awarded to 1 individual winner of the random drawing, provided that such entrant is an Eligible Entrant, and provided further that such entrant complies with the terms and conditions of these Official Rules (“Winner”). 

The Prize is a gn Cameo Pass non-fungible token (“NFT”). To receive the Prize, the potential Winner must create or maintain a valid wallet address for Ethereum transactions. If a potential Winner cannot present a valid wallet address to receive the Prize, they must inform Cameo immediately and an alternate Winner will be selected (as set forth in more detail below). The Prize is non-transferable (until after it has been awarded to the Winner); no cash redemption or prize substitution allowed. No more than the intended number of Prizes will be awarded. 

The approximate retail value of the Prize as of the date the Sweepstakes begins (“ARV”) is $[525]. The ARV of the Prize is approximated as of the Sweepstakes start date and time and is subject to price fluctuations in the marketplace based on, for example, the difference in time between the start of the Sweepstakes and the date that the Prize is awarded. Any difference between the stated ARV and the actual value of the Prize when provided to Winner will not be awarded.

All Cameon Pass NFTs are subject to the Cameo Terms of Service, including the Cameo Pass Terms of Service contained therein, available at https://legal.cameo.com/termsofservice (the “Cameo Terms of Service”)

Maximum one (1) Prize per person. If, due to a production, technical, human or other error, more than one (1) prize notification is issued, the one (1) intended prize will be awarded in a random drawing conducted by an officer of Sponsor from among all valid recipients of such Prize notifications.

TAXES: THE WINNER IS SOLELY RESPONSIBLE FOR THE PAYMENT OF ALL APPLICABLE FEDERAL, STATE, OR LOCAL TAXES ON THE PRIZE, AND FOR ANY ASSOCIATED COSTS THAT ARE NOT INCLUDED IN THE PRIZE DESCRIPTION ABOVE. PRIZES MAY BE REPORTED AS INCOME TO A WINNER AND THE WINNER MAY BE REQUIRED TO COMPLETE REQUIRED TAX FORMS OR OTHER DOCUMENTS REQUIRED WITHIN A TIME PERIOD DESIGNATED BY SPONSOR

CLAIMING THE PRIZE; ALTERNATE WINNERS: Following the determination of the potential Winner based on the random drawing, Sponsor will attempt to notify the potential Winner no more than two (2) times by direct message via Twitter to the Twitter account associated with the Winner’s entry. The Winner may be required to complete, sign and return an Affidavit of Eligibility, Liability Release and Publicity Release (where permissible) and confirm their identity, within twenty-four (24) hours of issuance of prize notification or, in the event that the Prize involves attending or participating in an event that is scheduled to occur within 24 hours of prize notification, prior to any such participation. If potential Winner cannot be reached within twenty four (24) hours of Sponsor’s initial attempt to contact Winner, if potential Winner is not available to utilize the Prize at the designated date and time, if prize notification is returned as undeliverable, if potential Winner is determined by Sponsor to be ineligible, if potential Winner does not return the above-referenced documents or confirm identity in a timely manner, if potential Winner does not comply with these Official Rules in any way, or if the potential Winner’s participation is deemed to be in violation of any applicable law, then the potential Winner forfeits the Prize and Sponsor may select an alternate potential Winner by random drawing from among all remaining eligible Entries. If applicable, there will be three (3) alternate drawings per Prize, after which the Prize will remain unawarded if not fulfilled. Upon Prize forfeiture by any potential Winner, no compensation will be given. Decisions of Sponsor regarding Prize eligibility and determination are final. All potential Winners are subject to verification by Sponsor.

PUBLICITY CONSENT: Except where prohibited, acceptance of the Prize constitutes the Winner’s permission for Sponsor to use Winner’s name, voice, biographical information (city/state), image, photograph and/or likeness, whether filmed, taped or otherwise recorded, including, without limitation, Winner’s reactions upon prize notification, for purposes of advertising and marketing worldwide, in all media now known or hereafter discovered, including, without limitation, social media and the internet, without further notice, permission or compensation.

GENERAL CONDITIONS: Sponsor is not responsible for: (i) electronic transmissions that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, or not received by Sponsor for any reason; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of requests for entries, or for deletion, theft or destruction of, unauthorized access to, or alteration of, entries or transmissions; (iii) any failed or unavailable hardware, network or software; (iv) causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes; (v) any requests made in a manner that is not expressly allowed under these Official Rules or the Cameo Terms of Service (all such requests will be disqualified);  (vi) incorrect or inaccurate entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in this Sweepstakes; (vii) any typographical or other error in any printing, advertising, or promotion relating to this Sweepstakes, in the administration or execution of this Sweepstakes, or in the announcement of the Prize Winner(s); or (viii) cheating or fraud by any participant.  All incomplete or non-conforming requests will be disqualified.

If for any reason this Sweepstakes cannot be executed as planned, including, without limitation, any printing, administrative, human or other error of any kind, transmission failure, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or errors, governmental mandate, pandemic, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Sweepstakes, or if this Sweepstakes, or Sponsor’s Site,  is compromised or becomes corrupted in any way, electronically or otherwise, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend this Sweepstakes without notice.

Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with or attempts to tamper with the entry process or the operation of this Sweepstakes generally, or Site, or who acts in violation of these Official Rules, the Site Terms, Talent Terms or Privacy Policy. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that term.

CAUTION: ANY ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES OR THE SITE MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO DISQUALIFY, AND SEEK DAMAGES OR OTHER REMEDIES FROM, ANY PERSON RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute regarding the identity of an entrant, the Entry will be deemed submitted by the authorized account holder of the account used to enter, provided s/he meets the eligibility requirements for this Sweepstakes. 

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Discord, Inc. (“Discord”), Facebook, Inc. (“Facebook”), Instagram, Inc. (“Instagram”), Twitter, Inc. (“Twitter”), or any of their respective affiliates. Sponsor is not affiliated with Facebook, Instagram, Twitter, or their respective affiliates in any way.

RELEASE; LIMITATION OF LIABILITY: SPONSOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING WINNER’S PARTICIPATION IN THE SWEEPSTAKES OR THE PRIZE. ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. 

BY PARTICIPATING IN THE SWEEPSTAKES, EACH ENTRANT, ON BEHALF OF HIMSELF/HERSELF AND HIS/HER HEIRS, SUCCESSORS AND ASSIGNS, AGREES TO RELEASE AND HOLD HARMLESS SPONSOR, ITS AFFILIATES, SUBSIDIARIES, ADVERTISING AND PROMOTIONAL AGENCIES,ANY SOCIAL MEDIA SITES WHERE THE SWEEPSTAKES MAY BE FOUND AND FULFILLMENT AGENCIES AND EACH OF THEIR EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, REPRESENTATIVES AND LEGAL ADVISORS (EACH, A “RELEASED PARTY”) FROM ANY AND ALL LOSSES, DAMAGES, LIABILITIES, CLAIMS AND ACTIONS OF ANY KIND ARISING FROM OR IN CONNECTION WITH THE SWEEPSTAKES OR RESULTING FROM ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND PROPERTY DAMAGE, AND CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY.

IN THE EVENT THAT THE FOREGOING LIMITATION OF LIABILITY IS INAPPLICABLE, IN NO EVENT SHALL THE RELEASED PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $10.  

NOTWITHSTANDING ANY OF THE FOREGOING, SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

PRIVACY: Any personally identifiable information collected in connection with an entrant’s participation in this Sweepstakes will be used by Sponsor, its affiliates, agents and marketers for purposes of the proper administration and fulfillment of this Sweepstakes, as described in these Official Rules, the Cameo Terms of Service, and as otherwise set forth in  Sponsor’s Privacy Policy, available at www.cameo.com/privacy. 

CLASS ACTION WAIVER; GOVERNING LAW; ARBITRATION:  The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Sweepstakes. Any controversy or claim arising out of or relating to these Official Rules and/or the Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the city of Chicago in the State of Illinois.

THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF ILLINOIS WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Sweepstakes, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to Chicago, Illinois, with any claims or causes of action to be brought only on an individual basis. The parties agree not to raise the defense of forum non conveniens.

SEVERABILITY:  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
